CANSTAR BLUE STANDARD TERMS OF ONLINE ADVERTISING

These are the standard terms and conditions (‘Standard Terms’) entered into between Canstar Blue New Zealand Limited Registration No. 3395011 (“Canstar Blue”) and the Advertiser and/or Agency (‘you’).

  1. Agreement
    1. If Canstar Blue notifies you of acceptance of your insertion order, an agreement will be formed (‘Agreement’), comprising:
      1. The insertion order signed or approved by you (‘Insertion Order’ or ‘IO’);
      2. These Standard Terms; and
      3. Any Schedules or Annexures that are attached to the Insertion Order.
    2. In the event of any inconsistency, the terms of the Insertion Order will prevail over the Standard Terms.
    3. This Agreement constitutes the entire agreement between the parties and replaces any previous discussions, communications or other documents concerning the supply of the Services.
  2. Definitions
    1. In this Agreement, the following definitions apply:
      1. ‘Advertisement’ means the advertisement intended to be displayed on Canstar Blue Websites or Advertiser’s product link from Canstar Blue Websites with the description and specifications contained in the columns headed ‘Advertisement’ in the IO and includes all associated materials (including any combination of text, links and images, whether in static or Widget format).
      2. ‘Advertiser’ is the entity described as such in the IO, if applicable.
      3. ‘Agency’ is the entity described as such in the IO, if applicable.
      4. ‘Agency Fee’ means the fee calculated by multiplying the Fees by the agency fee percentage set out in the IO, where applicable.
      5. ‘Business Day’ means a day on which banks are open for business in Auckland, New Zealand, and excluding Saturdays, Sundays and gazetted public holidays.
      6. ‘Business Hours’ mean the hours between 9.00am and 5.00pm Auckland time on any Business Day.
      7. ‘Canstar’ means Canstar Pty Ltd ABN 21 053 646 165.
      8. ‘Canstar Blue Websites’ means websites owned or operated by Canstar Blue, Canstar and websites of a Canstar or Canstar Blue distribution partner on whose website Canstar Blue is authorised to place advertising.
      9. ‘Change of Control’ means either a) a change of 50% or more in the ownership of an entity; or b) a change in the composition of the board of directors (if the entity is a company);
      10. “Code” refers to the applicable codes of conduct applicable in New Zealand at the time and includes (but is not limited to), the Advertising Code of Ethics, the Code for Comparative Advertising and any other code of conduct applicable to the operation of this agreement.
      11. ‘Confidential Information’ includes the terms and conditions of this Agreement and means all confidential, non-public or proprietary information relating to the business, corporate, legal and financial affairs, technology, know-how, processes, products, pricing and/or customers of a party, its related bodies corporate or its customers, whether written, oral or in electronic form and whether exchanged, disclosed or learnt before, on or after the date of this Agreement, but excludes information:
        1. which is in or becomes part of the public domain other than through breach of this Agreement or an obligation of confidence owed by one party to the other party; OR
        2. which the party can prove by contemporaneous written documentation:
          1. was already known to it at the time of disclosure by the other party;
          2. was independently developed without use of Confidential Information of the other party; or
          3. was learned from a third party under no duty of confidence.
      12. “Consequential Loss” means:
        1. indirect, special, incidental,  punitive damages or loss;
        2. loss of revenues;
        3. loss of reputation;
        4. loss of profits;
        5. lost opportunities, including opportunities to enter into arrangements with third parties; or
        6. loss or damage in connection with claims against you by third parties, except for claims against you arising directly or indirectly as a result of or in connection with any infringement of Intellectual Property Rights of a third party arising out of or in connection with you using the Canstar NZ trademarks or common law rights.
      13. ‘Cost Model’ means any of the following as set out in the IO or as otherwise described in the IO :
        1. ‘CPA’ or ‘Cost Per Acquisition’ means the cost that is payable each time a unique User completes the required fields of the Advertiser’s product application and submits that application to acquire or establish a new product;
        2. ‘CPC’ or ‘Cost Per Click’ means the cost that is payable each time a User clicks on the Advertisement and is taken to your Landing Page;
        3. ‘CPL’ or ‘Cost Per Lead’ means the cost that is payable each time a unique User submits to you personal details fields including their name and contact details on either your Widget Advertisement or a Canstar Blue generated lead form, in relation to the product or service the subject of the Advertisement. A Lead will be invalid where:
          1. the name or contact details are obviously a fabrication of the true identity of the customer e.g. Mickey Mouse, Phone 5555 0000; or
          2. both of the following apply:  the telephone number is disconnected and the email address is undeliverable.
        4. ‘CPM’ or ‘Cost per thousand’ means the cost that is payable for every thousand impressions of your Advertisement.
        5. ‘CPQ’ or ‘Cost per Quote’ means the cost that is payable each time a User completes the required fields either on your Widget Advertisement or on your site via a link from the Advertisement to complete a quote.
        6. ‘Fixed’ or ‘Sponsorship Cost’ model has the fixed cost and Share of Voice as specified in the IO, which is not dependent upon User activity;
        7. ‘SOR’ or ‘Share of Revenue’ represents the percentage of total revenue payable as a percent of the value of the completed sale as specified in the IO.
      14. ‘End Date’ has the meaning given to it in the IO.
      15. ‘Fees’ means the fees payable by you , based on the relevant Cost Model, which do not include any interest payable under clause 4 or GST.
      16. ‘Initial Term’ means the period that starts on the Start Date and ends on the End Date.
      17. ‘Force Majeure Event’ means an event which occurs due to any contingency beyond a party’s reasonable control, unless the event arose as a result of the party’s failure to comply with its obligations under this Agreement.
      18. ‘GST’ means the goods and services tax imposed under the GST Law;
      19. ‘GST Law’ means the Goods and Services Tax Act 1985 or any statute replacing the Act;
      20. ‘Intellectual Property Rights’ includes all present and future rights in relation to copyright, trade marks, designs, patents, trade, business names whether created before or after the date of this Agreement and whether existing in Australia or otherwise.
      21. ‘Landing Page’ means a single web page that appears in response to a User clicking on an Advertisement.
      22. ‘Services’ means Canstar Blue’s display of the Advertisement and/or transferal of Leads from Canstar Blue Websites, as set out in the IO.
      23. ‘Share of Voice’ means the percentage of time made available to the Advertiser for the Advertisement relative to other advertisers in the same ad position on the Canstar Blue Websites.
      24. ‘Start Date’ has the meaning given to it in the IO.
      25. ‘User’ means a user of the Canstar Blue Websites who interacts with your Advertisement.
      26. ‘Widget’ means an interactive display/banner that enables a User to insert information, and obtain a dynamic response from you.
    2. In this Agreement unless the context otherwise requires:
      1. the singular includes the plural and vice versa;
      2. a reference to ‘a party’ means a reference to a party to this Agreement;
      3. a reference to any of the parties by their defined terms includes that party’s executors, administrators or permitted assigns or, being a company, its successors or permitted assigns;
      4. all references to Fees, $ or monies to be paid are taken to be expressed as $NZ dollars; and
      5. clause headings are for reference purposes only.\
  3. Term and Services
    1. The term of this Agreement comprises the Initial Term and any Continuing Term (‘Term’).
    2. The Initial Term of this Agreement starts on the Start Date and ends on the End Date (‘Initial Term’).
    3. Unless either party provides the other party with written notice to the contrary at least 14 days prior to the end of the Initial Term, when the Initial Term ends, this Contract will automatically renew on a month to month basis (‘Continuing Term’).
    4. During the Continuing Term, Canstar Blue may amend any term of the Agreement including any Fees, at any time by a minimum of thirty (30) days’ written notice to you.
    5. During the Continuing Term, either party may terminate this Agreement by giving fourteen (14) days’ written notice to the other.
  4. Payment
    1. You must pay Canstar Blue the Fees which will be billed at the rates set out in the IO plus GST.
    2. You must pay the Fees within fourteen (14) days after the date of Canstar Blue’s invoice. Canstar Blue currently invoices monthly but may alter the frequency of invoices or render an interim invoice.
    3. You agree that notwithstanding actual performance under the relevant Cost Model, you agree to pay to Canstar Blue the Minimum Spend as set out in the IO, if applicable.
    4. If you cause delays in breach of clause 5.1, which in the absolute discretion of Canstar Blue adversely affect the campaign length and/or delivery schedule, you will be liable for the full amount of Fees payable under this Agreement.
    5. If you do not pay the Fees by the due date, Canstar Blue may do any of the following upon written notice to you:
      1. terminate the Agreement;
      2. suspend provision of services to you;
      3. charge interest on the overdue amount at a rate equal to 2% above the BNZ published rate for overdrafts of $100,000 and over at the relevant time; and
      4. recover from you any costs Canstar Blue incurs in obtaining payment of its Fees.
    6. You agree to pay all taxes, duties and other government charges payable in connection with the Agreement applicable at its date or in the future, including without limitation goods and services tax, other value added tax, sales tax, stamp duty but excluding taxes, duties and government charges assessed on the Fees.

4A. GST

    1. Any consideration to be paid or provided for a supply made under or in connection with this agreement, unless specifically described in this agreement as ‘GST inclusive’, does not include an amount on account of GST.
    2. Despite any other provision in this agreement, if a party (‘Supplier’) makes a supply under or in connection with this agreement on which GST is imposed (not being a supply the consideration for which is specifically described in this agreement as ‘GST inclusive’):
      1. the consideration payable or to be provided for that supply under this agreement but for the application of this clause (‘GST exclusive consideration’) is increased by, and the recipient of the supply (‘Recipient’) must also pay to the Supplier, an amount equal to the GST payable by the Supplier on that supply; and
      2. the amount by which the GST exclusive consideration is increased shall be paid to the Supplier by the Recipient without set-off, deduction or requirement for demand, at the same time as the GST exclusive consideration is payable or to be provided.
    3. If GST is levied or imposed on or in respect of any supply made under or in connection with this agreement for which the consideration is a non-monetary payment, the Supplier and the Recipient agree that they will each exchange Tax Invoices of equal amount for the consideration in relation to any such supply.
  1. Advertisement
    1. You must provide the Advertisement to Canstar Blue or any person nominated by us at least two (2) Business Days before the Start Date, and in accordance with any reasonable requirement that we notify to you from time to time. Canstar Blue is under no obligation to display the Advertisement until you comply with this clause.
    2. If you wish to make a change to the form of Advertisement, or the terms of this Agreement you must obtain Canstar Blue’s prior written consent and a fee may be payable for the change.
    3. If the Advertisement is a Widget, it must contain a hyperlink to the Advertiser’s agreed terms of use, and to Canstar Blue’s terms of use hosted on Canstar Blue’s website: http://www.canstarblue.co.nz/terms-and-conditions/ and as updated and notified by Canstar Blue to you from time to time.
    4. In the event that Canstar Blue reasonably believes that any campaign is underperforming, Canstar Blue may in its absolute discretion, change the placement of the Advertisement from that specified in the IO provided that it is displayed within a substantially equivalent-sized advertising unit and on a reasonably equivalent Canstar Blue Website environment to that specified in the IO.
    5. In the event that you notify Canstar Blue in writing of any errors in the Advertisement, Canstar Blue will correct the error in a reasonable timeframe.
    6. In the event that you request during the Term, that the Advertisement be temporarily removed and/or subsequently reinstated from the Canstar Blue Website/s, we shall do so as soon as is reasonably practicable after receiving written notice from you. No Fee reduction will apply during this period, unless the temporary removal was requested due to an error on the part of Canstar Blue.
  2. Reporting and Tracking
    1. You are responsible to provide Canstar Blue with monthly reporting (‘Monthly Reporting Requirement’) which calculates the Fees based on the Cost Model. The Monthly Reporting Requirement is to be completed in the format specified by Canstar Blue.
    2. At any time after giving you fourteen (14) days’ prior written notice , Canstar Blue may conduct an audit of your records relating to the Monthly Reporting Requirement to verify the calculation of Fees, Leads and any other matter arising under or relating to this Agreement. In order to comply with this provision, you will only need to supply the data relating to your calculation of the Monthly Reporting Requirement. This right will continue for a period of twelve months following expiry or earlier termination of this Agreement.
    3. If required by Canstar Blue, you must:
      1. insert tracking tags on your website or designated URLs, as applicable in order to accurately calculate the Fees (if applicable to the Cost Model); and
      2. ensure that your privacy policy and relevant site terms and conditions authorise the use of those tags using the following or substantially similar words: “We may use third-parties to serve ads on our website. These companies may employ cookies and action tags (also known as single pixel gifs or web beacons) to measure advertising effectiveness.  Any information that these third parties collect via cookies and action tags is recorded on an anonymous basis.”
      3. Include in your privacy policy a link to the following URL, containing opt-out information: http://www.networkadvertising.org/choices/
    4. You acknowledge and agree that Canstar Blue may insert its own pixel tracker into your Advertisement in order to monitor the Monthly Reporting Requirement.
  3. Obligations
    1. Your Obligations
      1. You must not provide an Advertisement which:
        1. displays any Canstar Blue logo, trademark or any other Canstar Blue representation, unless you are authorised under a Canstar Blue trademark licence agreement permitting you to use the Canstar Blue logos or trademarks;;
        2. defames any person;
        3. contains any negligent misstatement, is misleading or deceptive, or likely to mislead or deceive;
        4. infringes the intellectual property rights of any person;
        5. is rated (or in the opinion of Canstar Blue or the relevant website owner would be rated) in any of the Restricted (Red) categories, or is unclassified by the Classification Office under the Films, Videos and Publications Classification Act 1993;
        6. in Canstar Blue’s reasonable opinion, breaches or is likely to breach any applicable law, Code or or regulation; or
        7. links to or frames a website that includes material specified in sub-paragraphs (i) – (vi) inclusive.
      2. Canstar Blue may without prior consultation or notice to you, remove any Advertisement if Canstar Blue reasonably believes the publication of the Advertisement would be in breach of clause 7.1(a). If Canstar Blue removes the Advertisement under this clause, you will be liable for the full amount of Canstar Blue’s Fees payable under this Agreement. If Canstar or Canstar Blue does not remove any Advertisement it reasonably believes would be in breach of clause 7.1(a), this does not reduce any liability you may have to Canstar or Canstar Blue (under these terms or otherwise) in respect of such breach.
      3. You represent and warrant to Canstar Blue that:
        1. You are authorised to make available each Advertisement, its content and subject matter on the Canstar Blue Website/s.
        2. Each Advertisement you lodge for publication with Canstar Blue complies with all relevant laws, regulations and Codes including (but not limited to) the Privacy Act 1993 (‘Privacy Act’), the Fair Trading Act 1986 (“FTA”) and other applicable consumer laws and codes, any requirements of the Office of Film and Literature Classification and that the Advertisement’s publication will not give rise to any claims or liabilities against Canstar Blue, its officers, employees or agents.
        3. Subject to clause 6.3, neither you (nor any research vendor that you engage to conduct any research or study) will insert any tag, code, cookie, pixel or other data tracking or collection device into the Advertisement without our express written permission.
        4. You will not use or redistribute to any third party without our written permission any information or reports we may supply to you other than for the purpose of evaluating the performance of our Services.
    2. Our Obligations
      During the term of this Agreement, Canstar Blue will use reasonable commercial endeavours to perform the Services accordance with the IO.
    3. Exclusion of Warranties
      1. Canstar Blue makes no representation or warranty to you in relation to the number of visitors to the Canstar Blue Websites or the number of impressions at your website or other designated url unless expressly set out in writing in the IO.
      2. Unless specified in the IO, Canstar Blue does not guarantee any minimum number of deliveries or loading of an Advertisement on a world wide web page, or use of your Widget, or such other delivery metric as Canstar Blue may advise, provided that we will charge you in accordance with the IO.
      3. Neither Canstar Blue nor any owner of a Canstar Blue Website is responsible for errors or omissions in any Advertisement provided by you or on your behalf.
      4. Where you are acquiring the Services in “trade” (as defined in the Consumer Guarantees Act (CGA)), you agree that the provisions of the CGA will not apply to these terms.
      5. Where you are acquiring the Services in “trade” (as defined in the Fair Trading Act 1986 (FTA)), you agree that sections 9, 12A, 13 and 14(1) of the FTA will not apply to these terms.
  4. Intellectual Property
    1. You retain all copyright and intellectual property in the Advertisement, and grant Canstar Blue a licence to display the Advertisement on Canstar Blue Websites on the terms and conditions of this Agreement.
  5. Limitation of liability
    1. Subject to clause 9.5, without limiting any of the provisions of this Agreement, you indemnify Canstar Blue, its officers, employees and agents to a maximum extent of $500,000 per claim (or series of related claims) against claims, losses, damages and expenditure, however caused (including by way of negligence) suffered by or against Canstar Blue arising out of the breach of this Agreement by you, your officers, employees, contractors or agents.
    2. To the full extent allowable under statute, Canstar Blue:
      1. excludes all conditions and warranties implied into the Agreement;
      2. excludes Consequential Loss;
      3. limits its liability for breach of any condition or warranty that we cannot exclude, to the greater of (at Canstar Blue’s election):(i) Re-supplying the services; or (ii) Paying the cost of having the service re-supplied; and
      4. limits its liability in respect of any other claim in connection with this Agreement (whether based in Agreement, tort (including negligence) or statute) to the amount of fees paid by you under the Agreement.
    3. Canstar Blue will not be liable to you for any losses, costs, expenses or damages suffered or incurred by you arising from Canstar Blue’s failure to publish an Advertisement in accordance with your request.
    4. Transmission of data over the internet may be subject to corruption, error, interruption and delay and Canstar Blue will not be liable to you for any breach of the Agreement or delay in its performance due to:
      1. Any failure of the server hosting the Advertisements; or
      2. Any failure by Canstar Blue to supply Services under the Agreement due to any of the following:
        1. a Force Majeure Event;
        2. hacking, denial of service attacks, viruses or other defects, or unauthorised or illegal use of or interference with the internet based services used to display the Advertisements;
        3. a failure or malfunction in relation to equipment, software or power supply at your premises;
        4. an action by you, your employee, contractor, agent or a third party, including where the Advertisement is hosted by a third party;
        5. a failure or malfunction of an internet connection whether at your or Canstar Blues site; or
        6. scheduled maintenance by Canstar Blue of Canstar Blues Websites.
    5. The limitation of liability in clause 9.1 does not apply in respect of:
      1. personal injury, death or property damage;
      2. infringement of Canstar Blue’s, Canstar’s or a third party’s Intellectual Property Rights;
      3. your breach of the Privacy Act;
      4. your breach of a warranty given under clause 7.1(c); or
      5. fraud.
    6. You indemnify Canstar Blue, its officers, employees and agents with respect to the matters listed in clause 9.5 suffered by or against Canstar Blue arising out of the breach of this Agreement by you, your officers, employees, contractors or agents.
    7. This clause survives termination or expiry of this Agreement.
  6. Termination and Confidentiality
    1. Canstar Blue may terminate the Agreement immediately upon giving you notice in writing, if any of the following occurs:
      1. Canstar Blue is unable for any reason to place the Advertisements as required by the Agreement;
      2. you do not pay the Fees when due in breach of clause 4.2;
      3. you otherwise breach the Agreement and fail to rectify the breach after Canstar Blue has given you five (5) Business Days’ notice requiring rectification;
      4. you become or initiate proceedings towards doing any of the following; becoming insolvent, appointing a receiver or manager over your assets, entering into bankruptcy, administration, liquidation, receivership or composition with creditors;
      5. you undergo a Change of Control without Canstar Blue’s prior written consent.
    2. Termination of this Agreement for any reason does not relieve the parties of obligations and liabilities arising prior to the date of termination.
  7. General
    1. This Agreement can only be varied in writing signed by both parties, will be governed by the laws of New Zealand and the parties irrevocably submit to the exclusive jurisdiction of the courts of New Zealand with respect to any legal action, suit or proceeding or any other matter arising out of or in connection with this Agreement.
    2. The benefit of and obligations under this agreement shall not be dealt with in any way (whether by assignment or otherwise) without Canstar Blue’s prior written consent.
    3. This agreement may be executed in any number of counterparts and all counterparts taken together constitute one instrument.
    4. This agreement constitutes the entire agreement between the parties. Any prior arrangements, agreements, representations or undertakings are superseded.
    5. If any term of the Agreement becomes unenforceable at law, the validity and enforceability of the remainder will not be affected.
    6. You are an independent contractor and will not represent yourself as being an agent of Canstar Blue or Canstar nor will you by virtue of this Agreement become an agent of Canstar Blue or Canstar.
  8. Confidentiality
    1. A party must not use each other’s Confidential Information or disclose each other’s Confidential Information to third parties without prior written consent except:
      1. to the extent necessary to perform or enforce this Agreement;
      2. to obtain legal advice in relation to matters arising out of this Agreement;
      3. as authorised or required by law, including by demand of the Australian Competition and Consumer Commission, or the New Zealand Commerce Commission; or
      4. to comply with the rules of any stock exchange on which either party may be listed.
    2. Each party must return the other party’s Confidential Information upon request or termination of this Agreement, whichever is the earlier.
    3. Each party must ensure that its employees and contractors comply with those obligations of confidentiality as if they were a party to this Agreement.
    4. This clause survives termination or expiry of this Agreement for a period of three (3) years.
  9. Dispute Resolution
    1. Where either party considers a dispute has arisen in connection with this Agreement, the following process must be followed:
      1. it must first give written notice of the particulars of the dispute to the other party. Within fourteen (14) days of receipt of such notification by the other party, a senior officer of each party with authority to settle the dispute (“Authorised Officer”) must meet to negotiate to attempt to resolve the dispute.
      2. If the Authorised Officers of the parties cannot resolve the dispute within fourteen (14) days of the meeting referred to in sub-clause 13.1a, either party may refer the dispute to mediation in New Zealand by a mediator agreed between parties.
      3. If the dispute is not resolved within two (2) days of the commencement of mediation, or within such other period as the parties may agree, either party may then, but not earlier, commence proceedings in any court of competent jurisdiction in New Zealand.
      4. Notwithstanding the existence of a dispute each party shall continue to perform its obligations under this Agreement.
      5. Nothing in this clause shall prevent a party from seeking urgent equitable relief before an appropriate court.
  10. Notice
    1. Notice will be deemed given:
      1. in the case of hand delivery, upon written acknowledgement of receipt by an officer or other duly authorised employee, agent or representative of the receiving party;
      2. in the case of posting, three (3) days after dispatch;
      3. immediately in the case of facsimile transmission, upon completion and upon confirmation of transmission by the sender’s facsimile machine of all pages of the notice;
      4. immediately in the case of an email transmission, unless the sender receives an ‘undeliverable’ notice.
        Provided that in all cases if a form of notice is received on a non-Business Day or outside Business Hours it will be taken to be received on the next Business Day.
  11. Agency Terms
    1. If you are an Agency, you represent and warrant to Canstar Blue:
      1. that you have written authorisation from the Advertiser to enter into this Agreement on the Advertiser’s behalf; and
      2. that the content of the Advertisement has been provided by the Advertiser to the Agency for placement on the Canstar Blue Websites;
      3. that the Advertiser indemnifies Canstar Blue and its related bodies corporate, their officers, employees and agents against all claims, losses, damages and expenditure (including legal costs on an indemnity basis) arising out of:
        1. any breach by Canstar Blue and/or its related bodies corporate of any applicable law or regulation; and
        2. any administrative action, surveillance action or other action taken against Canstar Blue or one or more of its related bodies corporate, where such breach or action results from or is concerned with (in whole or part) the form or content of the Advertisement displayed on Canstar Blue Websites in accordance with this Agreement; or information provided to Users generated on Canstar Blue websites.
      4. that by your entering into this Agreement on its behalf, the Advertiser agrees to be bound by the terms of this Agreement including but not limited to paying Canstar Blue for Advertisements delivered pursuant to this Agreement.
      5. that if the Advertiser fails to pay the fees in accordance with this Agreement when due, that the Agency agrees to pay those fees within fourteen (14) days of receipt of an invoice from Canstar Blue, together with any interest, costs and fees and taxes that Canstar Blue is entitled to charge the Advertiser under this Agreement.
